1. Struktura Korporative: LLC → Sh.a.
Projekti strukturohet si një Kompani me Përgjegjësi të Kufizuar (LLC) me maksimum 49 investitorë, sipas ligjeve të Kosovës. Kur arrihet pragu minimal prej €1.96M, kompania kalon në statusin e Shoqërisë Aksionare (Sh.a.), duke mundësuar një numër të pakufizuar aksionerësh dhe qeverisje korporative të avancuar.
2. Licencat dhe Lejet
- Licenca e Prodhimit: ERO – një licencë e vetme përfshin si GES ashtu edhe BESS
- Marrëveshja e Lidhjes me Rrjetin: KOSTT (Transmetimi) dhe KEDS (Shpërndarja)
- Leja e Ndërtimit: Komuna përkatëse (Gjilan, Ferizaj ose Prishtinë)
- Vlerësimi i Ndikimit në Mjedis: Miratimi nga Ministria e Mjedisit
3. Mbrojtja e Investitorëve dhe ESCROW
Të gjitha fondet e investitorëve mbahen në një llogari ESCROW në TEB Kosovo. Fondet lirohen vetëm kur arrihet pragu minimal prej €1.96M dhe LLC themelohet zyrtarisht. Nëse pragu nuk arrihet deri më 31 Dhjetor 2026, të gjitha fondet u kthehen investitorëve me mbrojtje 100% të principalit.
4. Ligji i Zbatueshëm dhe Arbitrazhi
Të gjitha kontratat i nënshtrohen ligjeve të Republikës së Kosovës. Mosmarrëveshjet zgjidhen sipas rregullave të arbitrazhit ICC në Stamboll, Turqi, në gjuhën angleze. Kjo u ofron investitorëve ndërkombëtarë një mekanizëm të pavarur dhe të zbatueshëm për zgjidhjen e mosmarrëveshjeve.
5. Përparësitë Tatimore
- Tatimi mbi të Ardhurat e Korporatave: 10%
- Tatimi mbi Dividendët: 0%
- TVSH: 18% (norma e reduktuar për pajisjet diellore)
- Marrëveshje për Shmangien e Tatimit të Dyfishtë me Turqinë dhe mbi 40 vende të tjera

1. Kurumsal Yapı: LLC → JSC
Proje, Kosova yasalarına göre en fazla 49 yatırımcılı Limited Şirket (LLC) olarak yapılandırılır. €1.96M minimum eşiğe ulaşıldığında, şirket Anonim Şirket (JSC) statüsüne geçer ve sınırsız sayıda hissedar ile gelişmiş kurumsal yönetişim sağlanır.
2. Lisanslar ve İzinler
- Üretim Lisansı: ERO – tek lisans hem GES hem BESS'i kapsar
- Şebeke Bağlantı Anlaşması: KOSTT (İletim) ve KEDS (Dağıtım)
- İnşaat Ruhsatı: Belediye yetkilisi (Gilan, Ferizaj veya Priştine)
- Çevresel Etki Değerlendirmesi: Çevre Bakanlığı onayı
3. Yatırımcı Koruma ve ESCROW
Tüm yatırımcı fonları, TEB Kosovo'da bir ESCROW hesabında tutulur. Fonlar, €1.96M minimum eşiğe ulaşıldığında ve LLC resmen kurulduğunda serbest bırakılır. 31 Aralık 2026'ya kadar eşik aşılamazsa, tüm fonlar yatırımcılara %100 ana para korumasıyla iade edilir.
4. Geçerli Hukuk ve Tahkim
Tüm sözleşmeler Kosova Cumhuriyeti yasalarına tabidir. Uyuşmazlıklar, ICC tahkim kurallarına göre İstanbul, Türkiye'de İngilizce dilinde çözülür. Bu, uluslararası yatırımcılara tarafsız ve uygulanabilir bir uyuşmazlık çözüm mekanizması sunar.
5. Vergisel Avantajlar
- Kurumlar Vergisi: 10%
- Temettü Vergisi: 0%
- KDV: 18% (güneş ekipmanları için indirimli oranlar)
- Türkiye ve 40'tan fazla ülke ile Çifte Vergilendirmeyi Önleme Anlaşması

1. Corporate Structure: LLC → JSC
The project is structured as a Limited Liability Company (LLC) with a maximum of 49 investors under Kosovo law. When the minimum threshold of €1.96M is reached, the company transitions to a Joint Stock Company (JSC), enabling an unlimited number of shareholders and advanced corporate governance.
2. Licenses and Permits
- Generation License: ERO – single license covers both PV and BESS
- Grid Connection Agreement: KOSTT (Transmission) and KEDS (Distribution)
- Construction Permit: Municipal authority (Gilan, Ferizaj or Prishtina)
- Environmental Impact Assessment: Ministry of Environment approval
3. Investor Protection and ESCROW
All investor funds are held in an ESCROW account at TEB Kosovo. Funds are released only when the minimum threshold of €1.96M is reached and the LLC is officially established. If the threshold is not reached by December 31, 2026, all funds are returned to investors with 100% principal protection.
4. Governing Law and Arbitration
All contracts are governed by the laws of the Republic of Kosovo. Disputes are resolved under ICC arbitration rules in Istanbul, Turkey, in the English language. This provides international investors with a neutral and enforceable dispute resolution mechanism.
5. Tax Advantages

1. Korporativna Struktura: LLC → JSC
Projekat je strukturiran kao Društvo sa ograničenom odgovornošću (LLC) sa maksimalno 49 investitora prema zakonu Kosova. Kada se dostigne minimalni prag od €1.96M, kompanija prelazi u status Akcionarskog društva (JSC), omogućavajući neograničen broj akcionara i napredno korporativno upravljanje.
2. Dozvole i Permiti
- Proizvodna dozvola: ERO – jedna dozvola pokriva i SE i BESS
- Sporazum o priključenju na mrežu: KOSTT (Prenos) i KEDS (Distribucija)
- Građevinska dozvola: Opštinska vlast (Gnjilane, Uroševac ili Priština)
- Procena uticaja na životnu sredinu: Odobrenje Ministarstva životne sredine
3. Zaštita Investitora i ESCROW
Sva sredstva investitora drže se na ESCROW računu u TEB Kosovo. Sredstva se oslobađaju tek kada se dostigne minimalni prag od €1.96M i LLC zvanično osnuje. Ako prag ne bude dostignut do 31. decembra 2026. godine, sva sredstva se vraćaju investitorima sa 100% zaštitom glavnice.
4. Merodavno Pravo i Arbitraža
Svi ugovori podležu zakonima Republike Kosovo. Sporovi se rešavaju prema ICC arbitražnim pravilima u Istanbulu, Turska, na engleskom jeziku. Ovo pruža međunarodnim investitorima neutralan i izvršan mehanizam za rešavanje sporova.
5. Poreske Prednosti
- Porez na dobit pravnih lica: 10%
- Porez na dividende: 0%
- PDV: 18% (snižene stope za solarnu opremu)
- Sporazum o izbegavanju dvostrukog oporezivanja sa Turskom i preko 40 drugih zemalja
